1. About this Privacy Policy

This Privacy Policy explains how Alder Compliance Pte. Ltd. (UEN 202038058E) (“Alder”, “we”, “us” or “our”) collects, uses, discloses, stores and otherwise handles personal data in connection with our website at www.alder.com.sg and our professional services.

Alder Compliance Pte. Ltd. was formerly known as Alder Corporate Services Pte. Ltd. This was a change of name of the same legal entity and did not involve a transfer of personal data to a different entity.

This Privacy Policy applies to website visitors, prospective and existing clients, individuals connected with our clients or matters, suppliers, professional contacts and other persons who interact with Alder.

Under the Personal Data Protection Act 2012 (the “PDPA”), personal data generally refers to data about an individual who can be identified from that data, or from that data together with other information to which an organisation has or is likely to have access.

2. Personal Data We May Collect

Depending on your relationship or interaction with Alder, the personal data we collect may include:

• identity and contact information, such as your name, email address, telephone number and residential or business address;
• employment, appointment and professional information, such as your job title, employer, directorships, qualifications and work history;
• identification, ownership and control information, including identification-document details, nationality, date of birth, beneficial ownership and authorised-signatory information, where required for an engagement or compliance purpose;
• financial and transactional information, such as billing details, payment records, source-of-funds information and information relating to a transaction or business relationship;
• information required for customer due diligence, conflict checks, sanctions screening, anti-money laundering and countering the financing of terrorism assessments, including information obtained from official or publicly available sources;
• enquiry, correspondence and service records, including information contained in messages, documents or instructions provided to us; and
• technical information generated when you use our website, such as an IP address, browser or device information and basic server logs, where such information is generated by the website infrastructure.

We seek to collect only personal data that is reasonably necessary for the relevant purpose. Please do not provide sensitive or identification information through the website enquiry form unless we specifically request it through an appropriate channel.

3. How We Collect Personal Data

We may obtain personal data:

• directly from you, including through our website enquiry forms, email, telephone calls, meetings, documents and other communications;
• from a client, your employer, an authorised representative or another person involved in an engagement or transaction;
• from counterparties, professional advisers, service providers and compliance or verification sources;
• from regulators, government agencies, public registers and other official or publicly available sources; and
• through our website infrastructure, where basic technical logs are generated for website operation or security.

If you provide personal data relating to another individual, you should be authorised to do so and should ensure that the individual has been informed of the relevant purposes, unless an exception under applicable law applies.

4. Purposes for Which We Handle Personal Data

We may collect, use or disclose personal data for purposes that are reasonably connected with our relationship with you or the services requested, including:

• responding to enquiries, arranging discussions and preparing proposals or quotations;
• conducting client acceptance, identity verification, conflict, risk, customer due diligence, AML/CFT and sanctions checks;

• protecting our rights, systems, personnel and premises, preventing fraud or misuse, resolving disputes and managing actual or suspected security incidents;

• sending relevant service information or business communications where you have requested them, consented to them where required, or where otherwise permitted by law.

Where the PDPA requires consent, we will notify you of the relevant purposes and obtain or rely on consent in accordance with the PDPA. We may also collect, use or disclose personal data without consent where this is required or authorised by the PDPA or another applicable law.

5. Personal Data Processed for Clients

In providing certain services, such as customer screening, outsourced compliance or outsourced data protection support, Alder may receive personal data from a client concerning the client’s officers, employees, customers, counterparties or other individuals.

Where Alder processes such personal data solely on the client’s instructions, Alder acts as a data intermediary and the client remains responsible for determining the purposes of processing and addressing the individual’s request. Individuals should generally direct requests concerning such data to the relevant client, although they may also contact Alder if they are unsure whom to approach.

Alder may separately handle some of the same information as an organisation for its own engagement administration, billing, conflict and risk management, security, record-keeping or legal and regulatory obligations. Alder’s role therefore depends on the particular processing activity and engagement terms.

6. Disclosure of Personal Data

We may disclose personal data, where reasonably necessary for the relevant purpose, to:

• Alder’s directors, employees, consultants and personnel who require the information for their work;
• professional advisers, auditors, insurers and other parties supporting our business or an engagement;
• hosting, information technology, cloud, communications, document-management and administrative service providers;
• screening, verification, compliance and information-service providers;
• banks, payment providers and parties involved in processing or reconciling payments;
• regulators, courts, tribunals, law-enforcement agencies, government authorities and other persons where disclosure is required or permitted by law;
• a purchaser, successor or relevant counterparty in connection with a proposed or completed business transaction, subject to appropriate safeguards; and
• any other person whom you authorise us to disclose the information to.

Service providers handling personal data for Alder are expected to process it only for the relevant service and to protect it appropriately, subject to applicable law and contractual arrangements.

7. Storage and Overseas Transfers

Alder currently stores and accesses personal data in Singapore. If it becomes necessary to transfer personal data outside Singapore, we will take steps required under the PDPA to ensure that the transferred personal data receives a standard of protection comparable to that under the PDPA.

8. Website Information and Cookies

Alder does not currently use analytics or advertising tools and does not use cookies to track visitors to our website. Basic technical logs may nevertheless be generated by the website infrastructure for operation, troubleshooting and security.

If we introduce cookies, analytics or similar technologies that materially change how visitor information is handled, we will update this Privacy Policy and implement any notice or choice mechanism required by applicable law.

9. Marketing Communications

Alder does not currently operate a newsletter or marketing sign-up through the website. Personal data submitted through an enquiry form will be used to respond to the enquiry and manage any resulting business relationship, and will not be used for unrelated marketing without appropriate notification and consent where required.

10. Protection of Personal Data

Alder maintains reasonable administrative, physical and technical safeguards designed to protect personal data in its possession or under its control against unauthorised access, collection, use, disclosure, copying, modification, disposal or similar risks. The safeguards applied depend on the nature of the information and the circumstances in which it is handled.

11. Retention of Personal Data

Alder generally retains personal data for up to five years, or for such other period as may be required or permitted by applicable law, a regulator, a competent authority, professional requirements or the circumstances of an engagement. The actual retention period depends on the nature of the information, the purpose for which it was collected and any continuing legal, regulatory, accounting, dispute-management or business need.

When personal data is no longer required for a legal or business purpose, Alder will cease retaining it or remove the means by which it can be associated with particular individuals, where reasonably practicable.

We take reasonable steps to ensure that personal data we use or disclose is accurate and complete where it is likely to affect the individual or be disclosed to another organisation. You should inform us if your personal data changes or if you believe that information held by Alder is inaccurate or incomplete.

You may request access to personal data about you that is in Alder’s possession or under its control, and information about how it has been used or disclosed, subject to the PDPA. You may also request correction of inaccurate or incomplete personal data.

Requests should be submitted to our Data Protection Officer using the details below and should contain sufficient information for us to identify you, locate the relevant records and understand your request. We may ask for reasonable identity verification. Access and correction rights are subject to exceptions and requirements under the PDPA, including where Alder processes the information solely on behalf of a client.

14. Withdrawal of Consent

Where we rely on your consent, you may withdraw that consent by giving us reasonable notice through our Data Protection Officer. We will explain the likely consequences and, once the withdrawal takes effect, will cease the relevant collection, use or disclosure unless it is required or authorised under applicable law.

Depending on the nature of the request, withdrawal of consent may prevent Alder from responding to an enquiry, continuing an engagement or providing particular services. Withdrawal does not affect processing that took place before it became effective.
